ABOUT CAM ELLIS, MANAGING PARTNER

Engineering & Project Management Experience Leveraged With Legal Expertise

With over a decade of technical, commercial, and legal experience spanning energy, infrastructure, and technology industries, our managing partner, Cam Ellis, brings a rare combination of technical, commercial, and legal expertise to identify risk and provide unique solutions to complex business challenges and transactions. His analytical, business-minded approach helps clients navigate the intricate legal and commercial risks inherent in developing and operating companies and projects across energy, oil and gas, LNG, power generation, solar, renewables, maritime, infrastructure, engineering, construction, EPC, professional services, technology, AI, and private equity sectors.

Cam's career reflects his deep industry knowledge and progressive leadership. After developing and executing pipeline and natural gas operating facility projects as an engineer and project manager for TC Energy, he began his legal career in private practice before joining the Sullivan Brothers Family of Companies as Corporate Counsel, supporting a diverse enterprise spanning energy infrastructure, construction, maritime and terminal operations, commodity trading, and environmental construction. His expertise caught the attention of Locke Lord, a top-tier international law firm, where he advised global clients on energy infrastructure and M&A matters. This led to his role as Vice President, Senior Legal Counsel at New Fortress Energy, where he was instrumental in developing LNG liquefaction facilities, hydrogen production projects, and multiple LNG vessel conversions. Most recently, he served as General Counsel for WaveCrest Energy, a Macquarie Capital portfolio company focused on cross-border LNG regasification and power project development.

Throughout his career, Cam has provided strategic legal guidance to top public and private companies on cross-border energy and infrastructure projects, as well as mergers and acquisitions, spanning North America, Latin America, UK, Europe, Africa, Asia, and the Caribbean. Notable achievements include his key role in New Fortress Energy's groundbreaking 1.4 MTPA Fast LNG offshore liquefaction facility in Altamira, Mexico—a complex project involving EPC agreements, interconnection contracts, commodity arrangements, O&M services, vessel chartering, conversions, and project financing. Beyond large-scale infrastructure development, Cam has been a trusted advisor to startup and growth companies, guiding multiple M&A and financing transactions across energy infrastructure, construction, maritime, technology, AI, and specialized service sectors, with transaction values from $1 million up to $2 billion.

With his J.D. from South Texas College of Law Houston and B.S. in Industrial Engineering from Texas A&M University, Cam specializes in cross-border infrastructure project development, project financing, joint ventures, development agreements, M&A transactions, EPC and O&M agreements, shipyard agreements, vessel chartering and management contracts, and technology licensing deals.

  • Mexico, and Ireland, including engineering, procurement, construction, operations, public utility interconnection, natural gas pipeline interconnection, long-term service agreements, gas supply agreements, and LNG SPA agreements 

  • WaveCrest Energy providing project development support for LNG regasification and LNG-to-Power projects in Asia, LatAm, US, UK, Europe, and Africa, including joint development, joint venture, financing, engineering, procurement, construction, operations, natural gas  pipeline interconnection, truck loading/transportation, supply agreements, and terminal use and regasification services agreements

  • Texas International Terminals on the expansion and continued operations of petroleum tank terminal facility, including  marine terminal, pipeline, rail, and storage logistics, and ancillary O&M agreements 

  • Texas International Refining Company with respect to development and execution of a crude oil processing facility,  including EPC, feedstock supply, and ancillary O&M agreements 

  • GCC Supply & Trading with respect to various dry bulk and liquid feedstock supply, marine fuel supply, offtake,  storage, and ancillary trading agreements 

  • Martin Midstream with respect to development of a sulfur processing facility

Maritime

  • Zero Park (New Fortress Energy portfolio company) with respect to development of hydrogen production facility,  including EPC, financing, supply, and ancillary service and operations agreements 

  • HiVolt Energy with respect to development and construction of a private electrical power line infrastructure to service  upstream development assets, including development and license, O&M, PPAs, and ancillary agreements 

  • energyRe acquisition of project for the development and implementation of a solar generation facility and associated  battery energy storage project, including, membership interest and asset purchase, financing, EPC, battery energy supply, long-term service agreements, and power purchase agreements 

  • Riverbend Energy Group with respect to acquisition of minority interest in hydrogen storage company 

  • Agilon Energy with respect to sale of multiple peaking power generation facilities to stalking horse bidder 

  • Caliche Development Partners with respect to development of a carbon sequestration project, including partnership, easement, and service agreements 

  • Major waste management and recycled materials company with respect to development of a large-scale recycled  materials processing facility

Outside The Office

When he's not in the office, Cam can be found at home in League City, Texas, with his wife and two children. As an active member of Clear Creek Community Church, he's deeply rooted in his community. His personal interests reflect his hands-on nature—whether he's tinkering, diving into a sci-fi novel, designing or playing board games with friends, bowhunting, fishing, cooking, or perfecting his next brisket.
